By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.
Description of Service
DDSHARED is a HIPAA-compliant, zero-knowledge encrypted file sharing platform built for Dental Practices. Our services include encrypted file storage, secure sharing, practice management tools (consent forms, referral builder, lab tracker, compliance vault), desktop sync clients, and related features.
1 Use of Services
You may use our services only if you are at least 16 years old and capable of forming a binding contract. By using our services, you represent and warrant that you meet these requirements.
You agree to use our services only for lawful purposes and in accordance with these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
2 Account Registration
Some features of our services may require you to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or violates these Terms.
3 Payment and Billing
If you purchase a subscription or other paid services, you agree to pay all applicable fees as described at the time of purchase. All payments are processed securely through Stripe.
Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). You authorize us to charge your payment method automatically for each billing cycle until you cancel.
5 Intellectual Property
All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and code, are the exclusive property of EOXLABS LLC and are protected by intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use our services for personal or internal business purposes. You may not copy, modify, distribute, sell, or lease any part of our services without prior written consent.
6 User Content
You retain ownership of any content you submit, post, or display through our services ("User Content"). By submitting User Content, you grant us a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and display such content solely for the purpose of operating and improving our services.
You represent and warrant that you have all necessary rights to grant this license and that your User Content does not violate any third-party rights or applicable laws.
8 Third-Party Services
Our services may contain links to or integrations with third-party websites, services, or applications. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is at your own risk.
10 Limitation of Liability
To the maximum extent permitted by law, EOXLABS LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services.
Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
11 Indemnification
You agree to indemnify, defend, and hold harmless EOXLABS LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our services, your User Content, or your violation of these Terms.
12 Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the new Terms.
13 Termination
We may suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services will immediately cease.
4 Cancellation and Refunds
You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period.
Refund requests made within 14 days of purchase will be honored in full. After 14 days, refunds are issued at our discretion.
7 Prohibited Conduct
You agree not to:
- Use our services for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of our services
- Transmit any viruses, malware, or harmful code
- Scrape, harvest, or collect information from our services without permission
- Impersonate any person or entity or misrepresent your affiliation
- Upload, share, or transmit PHI without proper authorization and safeguards
- Circumvent or disable any security features or access controls
9 Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or free of viruses or other harmful components.
To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
14 Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and EOXLABS LLC regarding your use of our services.
